ALUMNI ASSOCIATION CONSTITUTION

RIO LINDO ACADEMY ALUMNI ASSOCIATION
CONSTITUTION AND BY-LAWS

PREAMBLE

 

We, the Alumni of Rio Lindo Adventist Academy, grateful to God for our Alma Mater, in order to foster loyalty to our school and to promote spiritual and social occasions for mutual enjoyment, do hereby adopt this constitution. 

 

ARTICLE I - NAME

 

This association shall be known as the Rio Lindo Academy Alumni Association and hereafter be referred to as the Association. 

 

ARTICLE II - Purpose

 

The purpose of this Association shall be for furthering friendships and to continue support of Rio Lindo Adventist Academy. Some specific objectives of this Association shall be to:

 

A.    Do any and all activities deemed proper, advisable, necessary, or beneficial in promoting Rio Lindo Adventist Academy and the alumni thereof

 

B.    Encourage former graduating classes to continue in a spirit of closeness with Rio Lindo Adventist Academy

 

C.    Welcome the graduating seniors into the Association at graduation

 

D.    Publish alumni news through the official newsletter of the Association, The Alumnus, and through other means and media

 

E.     Organize alumni chapters throughout the world

 

F.     Conduct the annual Alumni Homecoming Reunion each spring

 

G.    Maintain a current roster of all alumni as defined under Article III - Membership

 

H.    Promote and encourage Adventist Christian education throughout the world 

 

ARTICLE III - Membership

 

The membership of this Association shall consist of the following:

 

A.    Regular (voting) Members identified as any graduate or former student of Rio Lindo Adventist Academy (RLAA).

 

B.    Honorary (non-voting) Members identified as:

 

1.     Spouses of Regular or Associate Members

 

2.     Former and present faculty and staff of RLAA and their spouses

 

3.     Former and present members of the Board of Trustees of RLAA

 

 

 

ARTICLE IV - Meetings

 

A.    At least one meeting of  the Executive Committee as defined under Article VII - Officers shall be held prior to the annual Alumni Homecoming.

 

1.    Members of the Executive Committee present shall constitute a quorum for the transaction of business.

 

2.    The purpose of this meeting shall be to:

 

                          i.         review the financial statement for the previous year.

 

                         ii.         nominate officers for the upcoming year.

 

B.    At least one meeting of the Association shall be held annually to coincide with Alumni Homecoming.

 

1.    Members are to be notified thirty days in advance of any meeting.

 

2.    Members in attendance shall elect officers from the nominations provided by the Executive Committee.

 

ARTICLE V - Amendment

 

This constitution may be amended at any meeting of the Association by a two-thirds vote, a quorum being present. 

 

ARTICLE VI - Officers

 

The officers of this Association shall be a President, Vice-President, Secretary, and a Treasurer. Each shall hold office for one year. Also included are the Principal and an Executive Secretary chosen by the Principal with the approval of the Executive Committee. The election of the President and the Vice-president shall take place at the annual meeting, and they shall assume office on the day following Alumni Homecoming weekend. The Secretary and Treasurer shall be appointed by the President and Vice-president. Any vacant office shall be filled by the Executive Committee for the remainder of the term. 

 

ARTICLE VII - Executive Committee

 

The Executive Committee shall consist of the officers, the immediate former President, the Principal, and the Executive Secretary. The immediate Past President shall serve ex-officio for one year in an advisory capacity. The Director of Alumni Relations shall serve ex-officio as Executive Secretary. 

 

ARTICLE VIII - Duties of Officers

 

President: Shall preside at all meetings of the Association, perform all the duties pertaining to the office, approve payments for the Association's expenses, and oversee the planning of all Association-sponsored events and programs including Alumni Homecoming. The President shall serve ex-officio as a voting member of the Board of Trustees of Rio Lindo Adventist Academy. 

 

Vice-president: Shall assist the President in overseeing the planning of Association-sponsored events and programs, and in the absence of the President, the Vice-president shall perform all the duties of the President. 

 

Secretary: Shall keep the minutes of all meetings, give notice of all meetings, notify officers of election, and attend to any correspondence as directed by the President. 

 

Treasurer: Shall maintain records of monies of the Association, execute payments of the Association's expenses as directed by the President, and present a report at every Executive Meeting of receipts and disbursements. 

 

Executive Secretary: Shall coordinate Association activities with Rio Lindo Adventist Academy. 

 

ARTICLE IX - Finances

 

The fiscal year of the Association shall extend from the April 1 through March 31.
